1. Acceptance of Terms

By accessing or using the Argus Mesh platform, APIs, dashboard, or any related services (collectively, the "Service") provided by Argus Mesh ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Service.

2. Description of Service

Argus Mesh is an AI-powered fraud detection and prevention platform that provides:

  • Real-time transaction scoring and risk assessment
  • Customizable rule engines and velocity-based fraud detection
  • Graph-based entity resolution and relationship analysis
  • Case management and investigation workflows
  • Analytics dashboards and reporting
  • APIs for integrating fraud detection into your systems

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

3. Account Registration and Security

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that account access is limited to authorized personnel within your organization

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any purpose that violates applicable laws or regulations
  • Reverse engineer, decompile, or attempt to extract the source code of the Service or its underlying algorithms
  • Interfere with, disrupt, or place undue burden on the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Use the Service to discriminate unlawfully against individuals or groups
  • Upload malicious code, viruses, or any harmful material to the Service

5. Data Processing and Ownership

5.1 Your Data

You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive license to process your Customer Data solely as necessary to provide, maintain, and improve the Service.

5.2 Data Processing

We process Customer Data, including transaction data, in accordance with our Privacy Policy and any applicable Data Processing Agreement (DPA). We implement industry-standard security measures to protect Customer Data, including encryption at rest and in transit.

5.3 Aggregated Data

We may collect and use aggregated, de-identified data derived from the use of the Service to improve our fraud detection models, algorithms, and overall platform performance. Such aggregated data will not identify you or any individual.

5.4 Data Retention

We retain Customer Data for the duration of your subscription and for a reasonable period thereafter as required by law or as necessary for legitimate business purposes. Upon termination, you may request export of your data within 30 days.

6. Service Level and Availability

We strive to maintain high availability of the Service. Specific uptime commitments, if any, are set forth in your subscription agreement or Service Level Agreement (SLA). Scheduled maintenance windows will be communicated in advance whenever possible.

7. Fees and Payment

Fees for the Service are specified in your subscription agreement or order form. Unless otherwise stated:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as expressly stated
  • We may adjust fees with at least 30 days' prior written notice
  • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower

8. Intellectual Property

The Service, including all software, algorithms, machine learning models, documentation, trademarks, and content, is the exclusive property of Argus Mesh and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited usage rights expressly granted herein.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

10. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Service will be uninterrupted, error-free, or completely secure
  • That fraud detection results will be 100% accurate or that all fraudulent activity will be detected

You acknowledge that no fraud detection system can guarantee the identification of all fraudulent transactions and that false positives and false negatives may occur.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Argus Mesh, its affiliates, officers, directors, employees, or agents be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from undetected fraudulent transactions or false positives
  • Costs of procurement of substitute goods or services

Our total aggregate liability under these Terms shall not exceed the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Argus Mesh and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • The data you submit to the Service, including any personal data processed on your behalf

13. Termination

Either party may terminate the subscription in accordance with the terms of the applicable order form or subscription agreement. We may also suspend or terminate your access to the Service immediately if:

  • You materially breach these Terms and fail to cure the breach within 30 days of notice
  • You fail to pay fees when due
  • Required by law or regulation
  • We reasonably believe your use poses a security risk to the Service or other users

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where practical, by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to resolve the dispute in a court of competent jurisdiction in Delaware.

16. General Provisions

  • Entire Agreement: These Terms, together with your subscription agreement and any applicable DPA, constitute the entire agreement between you and Argus Mesh.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control.
